Bylaws

ARTICLE I - NAME AND LOCATION

The name of this non-profit organization shall be the International Society of Fabric Forming (“ISOFF”). It shall be incorporated in the Province of British Columbia, Canada. The principal office shall be located in British Columbia or in such other locality as may be determined from time to time by the Board of Directors (“Board”). The website of the Society is www.fabricforming.org, and meetings and communication will often take place over the
internet.

ARTICLE II - MISSION

ISOFF promotes and encourages the use of fabric forming through research, design, education, building codes and standards, marketing and public affairs around the globe.

ARTICLE III - MEMBERSHIP

Section 1 - Manufacturing Members

Manufacturing Members of the Society shall be limited to companies that manufacture fabric forms and who contribute at least, the minimum dues to qualify for Manufacturing Membership as determined by the Board (see Article IX).

Each Manufacturing Member shall have one vote per candidate to elect Manufacturing Members of the Board and shall designate, in writing, the name of the Company representative who will exercise the Member’s vote at Meetings of Members. Manufacturing Members shall designate one representative to vote in the affairs of the Society and may, by written proxy, designate an alternate to vote at a particular Member Meeting if the designated representative cannot attend.

Section 2 - Professional Members

Professional Members of the Society shall include those individuals from various educational, technical and research institutions interested in Fabric Forming. Professional Members must contribute at least the minimum dues, as determined by the Board, to qualify for Professional Membership (see Article IX).

Each Professional Member shall have one vote per candidate to elect Professional Members to the Board and shall designate, in writing, the name of the representative who will exercise the Member’s vote at Meetings of Members. Professional Members may, by written proxy, designate an alternate to vote at a particular Member Meeting if the designated representative cannot attend.

Section 3 - Distributor Members

Distributor Members of the Society shall include companies engaged in the business of directly distributing Fabric Forms. Distributor Members must contribute at least the minimum dues, as determined by the Board, to qualify for membership (see Article IX). Each Distributor Member shall designate one representative to participate in the affairs of the Society and may, by written proxy, designate an alternate to vote a particular Member Meeting.

Each Distributor Member shall have one vote per candidate equivalent to the number of Board of Director seats available to elect Distributor Members of the Board and shall designate, in writing, the name of the Company representative who will exercise the member’s vote at Meetings of Members. Distributor Members may, by written proxy, designate an alternate to vote at a particular member meeting if the designated representative cannot attend.

Section 5 - Contractor Members

Contractor Members of the Society shall include companies engaged in the business of installing Fabric Forms. Contractor Members must contribute at least the minimum dues, as determined by the Board, to qualify for membership (see Article IX). Each Contractor Member shall designate one representative to participate in the affairs of the Society and may, by written proxy, designate an alternate to vote a particular Member Meeting.

Each Contractor Member shall have one vote per candidate equivalent to the number of Board of Director seats available to elect Contractor Members of the Board and shall designate, in writing, the name of the Company representative who will exercise the Member’s vote at Meetings of members. Contractor Members may, by written proxy, designate an alternate to vote at a particular Member Meeting if the designated representative cannot attend.

Section 6 - Other Membership Categories

The Board may create additional non-voting membership categories and dues structures at its discretion. These categories may include but are not limited to Professional Memberships by individuals, Ready Mix Companies, Students and Advisory Memberships by organizations and societies not meeting membership requirements of a Manufacturing, Professional, Distributor, or Contractor Member.

Section 7 - Membership in Good Standing, Resignation, and Removal

Membership in good standing is a Member who is current on dues and abides by the Standards and Practices established by the Board. Members who are not current with dues may be removed by the Board and then given notification from the Chairman of the Board.

Any member may resign by filing a written letter of resignation with the Society’s Executive Director. Any refund of dues already paid shall be at the discretion of the Board.

Any member may be removed from membership for cause by recommendation of the Standards and Practices committee and a three-fourths vote of the Board following written notice and a reasonable opportunity to be heard.
